Insight Path Terms of Service

Effective Date: September 16, 2026   •   Last Updated: September 16, 2026

These Terms of Service (“Terms”) govern access to and use of Insight Path, a software platform provided by Brock Innovative Solutions, LLC (“BIS,” “we,” “us,” or “our”). By accessing or using Insight Path, you agree to these Terms. If you use Insight Path on behalf of a school, school district, educational organization, company, or other entity, you represent that you are authorized to use the Service on behalf of that organization.

1. About Insight Path

Insight Path is a software platform designed to support instructional coaching, professional development, educational leadership, and organizational improvement. Features may include instructional coaching records, classroom visit documentation, coaching cycles, goals, follow-up management, PLC and one-time support tracking, coaching notes, supervisor tools, school and district dashboards, reports and analytics, files and documents, organizational administration, user and role management, notifications, and third-party integrations.

2. Eligibility and Authorized Use

Insight Path is intended primarily for authorized education professionals and organizational personnel. You may use Insight Path only if you are authorized by the applicable organization, comply with these Terms, use the Service lawfully, and comply with applicable organizational policies.

3. Organizational Accounts

Participating organizations may determine authorized users, roles, access permissions, school assignments, supervisor relationships, organizational settings, data-entry requirements, retention policies, account deactivation, and other administrative controls. Authorized organizational administrators may access information stored within their organization's Insight Path environment according to assigned permissions.

4. User Accounts

Users are responsible for maintaining the confidentiality and security of their accounts, protecting credentials, reporting suspected unauthorized access, and using only accounts assigned or authorized for their use.

5. Google Sign-In

Insight Path may allow authentication through Google Sign-In. Insight Path does not receive or store your Google account password. Access to optional Google services or APIs will occur only when the relevant functionality is enabled and appropriate authorization has been provided.

6. Google Workspace and Third-Party Integrations

Insight Path may provide integrations with third-party services such as Google Workspace, including Google Sign-In or Google Calendar. Use of a third-party integration may be governed by additional terms imposed by the third-party provider. BIS is not responsible for interruptions or discontinued functionality caused solely by a third-party service outside BIS's reasonable control.

7. Acceptable Use

Users may not use Insight Path to violate law, gain unauthorized access, access records without legitimate authorization, circumvent security or role restrictions, introduce malware, interfere with operation of the Service, probe system vulnerabilities without written authorization, impersonate another person, share credentials with unauthorized users, upload unlawful or malicious materials, infringe intellectual-property rights, scrape data without authorization, or use information in a manner inconsistent with applicable educational privacy requirements.

8. Sensitive and Student Information

Insight Path is primarily intended for instructional coaching and professional-support activities rather than student-record management. Users should avoid entering unnecessary sensitive student information and may not upload information they do not have authority to collect, use, or disclose.

9. Organizational Data

Organizations and their authorized users may submit information, files, records, notes, and other content (“Organizational Data”). As between BIS and the participating organization, the organization retains its applicable rights in Organizational Data. The organization grants BIS the limited rights necessary to host, process, transmit, back up, secure, display, and otherwise handle Organizational Data to provide Insight Path, support users, maintain and secure the Service, fulfill contractual obligations, and comply with applicable law.

10. User Content

Users represent that they have appropriate authority to submit content to Insight Path and are responsible for the accuracy, legality, and appropriateness of information entered into the Service.

11. Privacy

Use of Insight Path is subject to the Insight Path Privacy Policy, which describes how BIS collects, processes, stores, shares, retains, and protects information.

12. Educational Privacy

Where applicable, BIS will handle education records and other protected organizational information in accordance with applicable law, these Terms, the Privacy Policy, and any applicable written agreement. Participating organizations remain responsible for determining whether disclosure of information to Insight Path is legally permitted and for assigning appropriate access.

13. Separate District or Organizational Agreements

A participating organization may have a separate software license, SaaS agreement, pilot agreement, data privacy agreement, data processing agreement, procurement contract, or other written agreement with BIS. If a separate written agreement conflicts with these public Terms, the separate written agreement will control with respect to that organization to the extent of the conflict.

14. Pilot, Beta, Evaluation, and Free Programs

BIS may provide Insight Path through a limited pilot, beta, evaluation, demonstration, proof-of-concept, or other no-cost program. Pilot access may include limited or experimental features, testing requirements, feedback requests, product-development activities, additional written terms, and transition to a paid subscription.

Unless a separate written agreement provides otherwise, organizations participating in a free pilot acknowledge that BIS may use information generated through the pilot to evaluate, develop, test, and improve Insight Path and related BIS products. This may include using appropriately aggregated, de-identified, pseudonymized, or otherwise protected pilot data for statistical analysis, internal research, product development, algorithm development, and the development, testing, evaluation, or training of internal artificial-intelligence or machine-learning systems.

BIS will not intentionally sell or publicly release identifiable confidential information concerning individual users, teachers, students, schools, or participating organizations as part of those activities. Information received through Google Workspace APIs is excluded from this authorization and will not be used to develop, improve, or train generalized or non-personalized AI or machine-learning models.

A separate pilot agreement, data privacy agreement, or other written agreement may impose additional limitations. Where such an agreement conflicts with these Terms, the applicable written agreement controls.

15. Fees and Subscription Terms

Paid access may be governed by an order form, proposal, license agreement, or other written agreement. Pricing may depend on organizational size, number of schools, number of users, features, implementation requirements, or other agreed criteria.

16. Ownership of Insight Path

BIS and its licensors retain all rights, title, and interest in Insight Path and its underlying software, source code, object code, databases and structures, user-interface designs, workflows, documentation, branding, logos, trademarks, report designs, proprietary processes, features, technical architecture, improvements, derivative works, and other intellectual property. Any separate source-code ownership or development arrangement must be expressly stated in a written agreement signed by BIS.

17. Feedback

Users and organizations may provide suggestions, ideas, recommendations, or other feedback regarding Insight Path. Unless otherwise agreed in writing, BIS may use voluntary feedback to improve Insight Path without an obligation to compensate the person providing the feedback. This does not give BIS ownership of confidential Organizational Data.

18. Confidentiality

Certain information available through Insight Path may be confidential, including coaching notes, employee information, internal district information, organizational reports, authentication information, and nonpublic business information. Users must protect confidential information and access it only for authorized purposes.

19. Service Availability

BIS intends to maintain commercially reasonable availability of Insight Path but does not guarantee uninterrupted or error-free operation. The Service may occasionally be unavailable because of maintenance, updates, security actions, infrastructure issues, internet disruptions, third-party provider outages, emergency repairs, or events beyond BIS's reasonable control.

20. Changes to Insight Path

BIS may improve, modify, update, add, or remove features. We will use reasonable efforts to avoid materially impairing contracted functionality during an active paid term unless a change is reasonably necessary for security, legal compliance, third-party platform requirements, technical reliability, or product evolution.

21. Security

BIS implements reasonable administrative, technical, and organizational measures intended to protect Insight Path. Users and organizations are also responsible for protecting account credentials, maintaining secure devices, removing access when personnel leave, assigning appropriate permissions, and reporting suspected incidents.

22. Suspension and Termination

BIS may temporarily suspend access when reasonably necessary because of a security threat, suspected unauthorized access, material violation of these Terms, unlawful activity, nonpayment where applicable, a request from the applicable organization, an immediate risk to data or systems, or a legal requirement. Individual or organizational access may terminate according to the applicable agreement, organizational authorization, or these Terms.

23. Data Following Termination

Following termination or expiration, organizational data may be made available for export where contractually required, retained temporarily for transition purposes, preserved where legally required, deleted according to applicable retention procedures, or maintained in backups until normal backup expiration.

24. Disclaimers

To the maximum extent permitted by applicable law, Insight Path is provided on an “as is” and “as available” basis except for warranties expressly stated in a separate written agreement. Insight Path is a professional-support and organizational-management tool and does not independently make employment, disciplinary, instructional, legal, medical, or other professional decisions on behalf of participating organizations.

25. Limitation of Liability

To the maximum extent permitted by applicable law, BIS will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from use of or inability to use Insight Path. Except where prohibited by law or otherwise stated in a separate written agreement, BIS's aggregate liability arising from or relating to the Service will not exceed the amounts paid to BIS for the affected Service during the twelve months immediately preceding the event giving rise to the claim. For a no-cost pilot or free service where no fees were paid, BIS's aggregate liability will not exceed one hundred U.S. dollars ($100), except where such limitation is prohibited by law.

26. Governmental and Public-Sector Organizations

Schools, districts, RESAs, public agencies, and other governmental entities may be subject to statutory limitations involving indemnification, governing law, venue, sovereign immunity, public records, procurement, or other legal requirements. Where these Terms conflict with a non-waivable legal requirement applicable to a governmental customer, the applicable legal requirement and controlling written agreement will govern.

27. Governing Law

Except where a separate written agreement provides otherwise or applicable law requires a different result, these Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

28. Changes to These Terms

BIS may update these Terms periodically. The “Last Updated” date above identifies the most recent version. Material contractual rights contained in a separate written customer agreement cannot be modified solely by changing these public Terms unless that agreement allows such modification.

29. Severability and No Waiver

If any provision is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Failure by BIS to enforce a provision does not waive BIS's right to enforce it later.

30. Entire Agreement

These Terms, together with the Privacy Policy and any applicable written agreement, constitute the applicable agreement concerning use of Insight Path. Where a separate signed agreement applies, that agreement controls to the extent stated within it.
